The e-commerce market in Ukraine despite the ongoing war is developing at a rapid pace, 
and online stores are today an important pillar of the digital economy.

In July 2023, a new Consumer Protection Act was adopted, completely replacing the existing regulations and introducing changes to e-commerce regulations. The reform aimed to align Ukrainian consumer law with European Union standards. The new regulations were to take effect on July 8, 2024, but their entry into force was contingent on the prior end of martial law until then, the existing regulations remain in force.  

Правила (sales rules) - Ukrainian online store regulations  

Regulations in Ukraine should clearly define the rules for sales, delivery, payment, contract withdrawal, and complaints. Sellers operating in the Ukrainian market must comply with several key legal acts:  

 

  1. Pro захист law споживачів (Consumer Rights Protection Act) - serves as a general act in the field of consumer protection. It defines the basic obligations of entrepreneurs towards consumers, including the obligation to provide clear information 
    and reliable information about the goods or services in Ukrainian , price, delivery costs, payment terms, statutory warranty of 2 years (and in the case of construction products even 10 years) and the procedure for withdrawing from the contract. The Act provides special regulations for distance selling - the consumer has a 14-day right to withdraw from the contract (or 90 days in the absence of confirmation of the information 
    on sales on a durable medium) ,  

  1. Pro електронну комерцію ( E-Commerce Act) - contains detailed regulations on concluding distance contracts using electronic means of communication; specifies the conditions for the validity of an electronic contract, the information obligations of an online seller (including providing the full company name, address, tax identification number, contact details, terms of complaints, delivery and payment), requires the consumer to be provided with confirmation of the conclusion of the contract, and imposes on the seller the obligation to obtain a license if the activity requires it.  

  1. Pro захист персональних даних (Personal Data Protection Act ) - regulates the processing of consumer personal data, data controller obligations, information requirements, consent principles, and liability. Partially inspired by the GDPR.  

  1. Pro реалізацію окремих положень Закону України " Про захист law споживачів ( regulation on the implementation of certain provisions of the Act 
    "On the Protection of Consumer Rights") . It specifies which goods are subject to mandatory exchange within the so-called "exchange fund" ( фонду обміну ) - that is, a stock intended for the immediate replacement of the advertised products. It also contains a catalogue of exceptions to the right of withdrawal from a distance contract, much broader than that applicable in EU countries.  

Supervision over compliance with these regulations is carried out by the Department of Public Procurement (State Service of Ukraine for Food Safety and Consumer Protection) This body , which performs a function similar to the Polish Office of Competition and Consumer Protection, is responsible for the proper functioning of the market in terms of protecting consumer interests, including combating unfair market practices. Its tasks include enforcing the provisions of Ukrainian legal acts concerning consumer rights, including those regulating e-commerce and entrepreneurs' disclosure obligations.  

Right of withdrawal in Ukraine  

Under Ukrainian law , consumers have the right to withdraw from a distance contract within 14 days of receiving the goods or confirming the required information from the seller. The mere act of returning the goods constitutes termination of the contract .  

However, the legislator provides for exceptions to this right – withdrawal does not apply, among others, to goods whose price depends on market quotations, custom-made products, open media with audio, video or computer software recordings, the supply of magazines, lotteries and gambling games.  

Importantly, if the seller has not provided the consumer with the required information before concluding the contract, the withdrawal period is extended to 90 days from the date of receipt of the goods.  

Ukrainian law also provides for exceptions to the right of withdrawal, which have a broader scope than those resulting from EU regulations (e.g. Directive 2011/83/EU ) and cover, among others, certain categories of good quality goods which - for reasons of hygiene, practicality or specific nature - cannot be returned or exchanged after sale, even if the contract was concluded at a distance , e.g. rubber and latex toys for children or live animals.  

Complaints and seller's liability  

If defects in the goods are discovered during the warranty period ( both statutory and voluntary, provided by the seller or manufacturer) the consumer has the right to demand:  

  1. proportional price reduction;  

  1. free removal of defects in the goods within a reasonable time;  

  1. compensation for losses incurred in connection with the removal of defects in goods.  

However, if during this period defects are discovered that are the result of the fault of the seller or manufacturer, or the goods are counterfeit, the consumer has the right to demand, at his/her own discretion:  

  1. termination of the contract and refund of the amount paid for the goods;  

  1. exchange of goods for the same or similar goods from among the goods available 
    from the seller (manufacturer).  

If the consumer's request is not met, he or she has the right to submit another request from among those listed, which concerns the given goods.  

 

In addition , if the consumer requests the repair of goods that weigh more than 5 kg, the seller must, at his own expense, arrange both the delivery of the goods for repair and their return after repair.  The seller is also obliged to provide the so-called exchange fund ( укр . фонд обміну ) - i.e. an appropriate stock of goods intended to replace the advertised products. This list is listed in Annex No. 2 to the Regulation on the implementation of certain provisions of the Act "On the Protection of Consumer Rights").  

 

Product information must be presented in Ukrainian in a clear and easy-to-read manner. This means that no combinations of colors, fonts, font sizes, graphic symbols, or images may be used that make Ukrainian content difficult to understand or less visible than in other languages. The Ukrainian version cannot be hidden, reduced in size, or more difficult to read – it must be as readable and accessible as any other language version if the store operates in multiple languages. The purpose of these requirements is to ensure that Ukrainian consumers can easily access information in their native language.  

 

Complaints procedure and response time  

Complaints can be submitted in writing for example, by email using the contact form or in another manner provided by the seller. The seller is obligated to accept defective goods and fulfill the consumer's requests .  

In the event of a request to remove defects in the goods free of charge, the repair should be carried out within 14 days from the date of notification, unless the parties agree on another deadline .  

If a product requires replacement and a suitable item is not available, the request must be fulfilled within two months of the request date . The consumer may request a replacement product while the repair is in progress .  

If the complaint is not resolved within the time limit or the seller does not respond, the consumer may pursue his or her rights before the competent state control body – the State Service of Ukraine for Food Safety and Consumer Protection ( Держпродспоживслужба ), which supervises compliance with consumer legislation and combats unfair market practices.  

 

If the seller fails to meet the deadlines – either in delivering the replacement goods or in repairing them the consumer is entitled to compensation in the amount of 1% of the value of the complained goods for each day of delay.  

 

Personal data protection  

In Ukraine, personal data protection is regulated by the Law on захист персональних даних (Personal Data Protection Act). Although Ukraine is not a member of the EU or EEA, the adopted regulations are partially modeled on the GDPR, particularly in the context of its integration aspirations with the European Union.  

 

Despite the similarities in some duties, it should be remembered that Ukrainian law does not contain all the mechanisms and sanctions known from the GDPR , and the obligations of foreign companies subject to the GDPR may be broader than those resulting from the Ukrainian law.  

In addition to the terms and conditions of sale, the regulations should also include a privacy policy, information on the right to withdraw from the contract and complaint procedures, as well as complete and easily accessible contact details of the entrepreneur – including the address, telephone number, e-mail address and company registration number (ЄДРПОУ - Єдиний державний register підприємств та організацій України ) .
