Subscription Terms and Conditions
These Subscription Terms and Conditions govern the conclusion of Subscription Agreements between Ecommerce.legal and Subscribers.
§ 1. Definitions
Store – online store located at ecommercelegal.pl, owned by Ecommerce.legal.
Ecommerce.legal - Ecommerce.legal is a limited liability company with its registered office in Poznań (60-529), at ul. Dąbrowskiego 77A, entered into the Register of Entrepreneurs of the National Court Register by the District Court Poznań – Nowe Miasto and Wilda in Poznań, 8th Commercial Division of the National Court Register under the number: 0001071438, Tax Identification Number (NIP): 7812061024, National Business Registry Number (REGON): 527034850, share capital: PLN 10,000.00, telephone number: +48 530 091 988, e-mail address: biuro@ecommercelegal.pl

Subscription Terms and Conditions – these Subscription Terms and Conditions.
Subscriber - a natural person conducting business activity, a legal person or an organizational unit without legal personality, to which the applicable law grants legal capacity, which intends to conclude or concludes a Subscription Agreement with Ecommerce.legal via the website https://ecommercelegal.pl/ .
Subscription Agreement, Subscription - means an agreement for the provision of services concluded between the Subscriber and Ecommerce.legal, under which Ecommerce.legal undertakes to provide the Subscriber with broadly understood legal services and legal assistance, digital services or deliver digital products in accordance with the principles set out in these Subscription Terms and Conditions, as well as on the terms and conditions specified during the conclusion of the Agreement, in terms of the price and type of Subscription Package selected by the Subscriber.
Subscription Period – the term of the Subscription Agreement, which is 12 months.
Subscription Package, Package - the package of services, digital services and digital content selected by the Subscriber, available under the concluded Subscription Agreement.
Monthly fee – monthly fee for the Package selected by the Subscriber, determined on the date of conclusion of the Agreement by the Subscriber.
Billing Period – the period for which the Subscription is billed. The first billing period begins on the date the Agreement is concluded and lasts until the day preceding the corresponding calendar date in the following month (For example: If the subscription agreement began on March 15, the Billing Period will run from March 15 to April 14).
Legal service – legal services that are complex activities, activities requiring in-depth analysis, activities requiring a significant amount of work or activities requiring a creative element (e.g. preparing a letter, answering a complex question, preparing the terms and conditions of an online store for a client).
§ 2. Introductory provisions
1. Under the Subscription Agreement, Ecommerce.legal undertakes to provide the Client with the following services:
1) legal services,
2) digital services,
3) providing digital content related to law or the e-commerce industry.
2. The services referred to in paragraph 1 point 1) above apply exclusively to Polish law and European law directly or indirectly applicable in Poland (e.g. European directives or regulations).
3. The services referred to in paragraph 1 point 1 above may also include foreign law only through individual arrangements between the Client and Ecommerce.legal.
4. The exact scope of services provided by Ecommerce.legal depends on the Subscription Package selected by the Subscriber.
5. The subscription is only available to customers who conduct business in Poland.
6. You agree not to register (or attempt to register) multiple times for the same Subscription Package through the use of different names, email addresses or otherwise.
7. In matters not regulated by these Subscription Terms and Conditions, the provisions of the Terms and Conditions of the Ecommerce.legal online store, available at https://ecommercelegal.pl/pages/regulamin-sklepu, shall apply.
§ 3. Conclusion of the contract
1. The Agreement is concluded via the Store.
2. In order to properly conclude the Subscription Agreement, the Subscriber should have:
and) Internet access;
b) an updated and correctly configured web browser;
c) active email account;
d) computer programs that allow reading files in .pdf format.
3. In order to conclude the Subscription Agreement, the Subscriber places an order by:
1) selecting the Subscription Package at the price specified in the Price List available in the Store and during the purchasing process;
2) providing Ecommerce.legal with billing and contact details;
3) reading and accepting the Terms and Conditions and the Subscription Terms and Conditions, as well as any other conditions indicated and made available during the purchasing process;
4) reading and accepting the clause informing about the processing of personal data.
4. The Agreement is concluded when Ecommerce.legal sends a message confirming the conclusion of the Subscription Agreement via e-mail to the e-mail address provided by the Subscriber, containing a summary of the terms and conditions of the selected Subscription Agreement, as well as any other information relating to the Agreement.
§ 4. Subscription packages
1. Ecommerce.legal offers the following Subscription Packages:
1) The "Legal Start" package is designed for small businesses and startups that need basic legal support. The "Legal Start" package provides key legal tools to help you safely grow your business online, including:
and) access to an updated database of templates, documents and training courses such as regulations, privacy policies, payment requests, guides, and training recordings,
b) an e-mail or SMS newsletter with urgent changes in the law,
c) discounts on Ecommerce legal services
d) discounts on training and e-books
2) The Legal Flow package is for growing businesses that need more advanced legal support. The Legal Flow package provides additional tools and resources to help entrepreneurs meet the growing legal requirements of their businesses, including:
and) all the benefits of the Legal Start package
b) annual legal audit (store audit, preparation/modification of documents) with a full report,
c) free participation in Ecommerce legal training
d) free legal consultations in the form of meetings,
e) 2 hours of legal services per month (legal advice, drafting of documents).
3) The "Legal Force" package is an advanced package for companies requiring comprehensive legal protection. Legal Force offers full support and a personalized approach to ensure the highest level of legal security for your business. As part of the subscription package, you receive:
and) all benefits included in the Legal Start and Legal Flow packages
b) quarterly legal audit with full report,
c) free legal consultations in the form of meetings,
d) 3 hours of legal services per month (legal advice, drafting of documents),
4) The "Legal Partner" package is the most advanced package for companies requiring comprehensive legal protection. Legal Partner offers full support and a personalized approach, as well as a dedicated team of lawyers to ensure the highest level of legal security for your business. As part of the subscription package, you receive:
and) All benefits included in the Legal Start, Legal Flow and Legal Force packages
b) A team of dedicated lawyers to serve your company
c) Monthly legal audit with a full report on the implementation of changes
d) A total of 6 hours of legal services per month (legal advice, drafting of documents)
e) Free legal consultations in the form of meetings
f) Legal training for the team
g) Priority 24/7 support, priority assistance in the event of PIH/UOKiK/UODO inspections
2. Ecommerce.legal reserves the right to change the number and types of Packages, as well as the scope of services, digital services and digital content included in each Package.
3. The right referred to in paragraph 2 above does not affect existing Subscriptions.
4. Ecommerce.legal reserves the right to offer promotional offers to all or specific Subscribers – in particular by offering a lower Subscription price or extending Packages with additional services.
5. To use the priority support service described in § 4, paragraph 1, point 4) letter g), please include a subject line beginning with the word "Urgent" in your email to ecommerce.legal at Konsulta@ecommercelegal.pl. Your question will be answered as part of your Legal Services package or quoted immediately before being answered.
6. Free legal consultations in the form of meetings referred to in paragraph 1 point 2 subpoint d and paragraph 1 point 3 subpoint c are held every Thursday from 10:00 a.m. to 4:00 p.m. via computer software or by e-mail, to which Ecommerce.legal will provide access to clients.
7. A client who has purchased a free legal consultation package is entitled to a 30-minute legal consultation once a month, which is not included in the legal service hours, unless otherwise agreed upon in a specific case. The client may also request a consultation during the legal service hours, in which case ecommerce.legal will not charge any additional fee for the consultation.
8. Clients are served through free legal consultations, as referred to in paragraph 5 above, on a first-come, first-served basis. Registration is conducted via email at Konsulta@ecommercelegal.pl .
§ 5. Payment
1. The Subscriber is obligated to pay the Monthly Fee monthly during the term of the Agreement.
2. The Subscriber is obliged to pay the first Monthly Fee before concluding the Subscription Agreement.
3. The Subscriber is obliged to pay each subsequent Monthly Fee within 7 days from the start of the new Billing Period.
4. Monthly fees are payable in advance, based on a proforma invoice issued on the first day of the new Billing Period. Proforma invoices are sent electronically to the email address provided by the Subscriber.
5. The Subscriber authorizes Ecommerce.legal to issue invoices in electronic form .
6. Ecommerce.legal reserves the right to adjust the Monthly Fee once by a maximum of 10% each year of the Agreement's term, no earlier than after 12 months of the Agreement's term. Information about the planned fee change will be provided to the Service User electronically (to the email address provided at the time of concluding the Agreement or updated later) at least 30 days in advance.
§ 6. Subscription Duration
1. The subscription agreement is concluded for a fixed period of 12 (twelve) months.
2. After the Subscription Agreement expires, if no declaration of intent to continue is submitted, the Agreement will be extended for an indefinite period. The Parties may then terminate the Subscription Agreement with a three-month notice period.
3. Ecommerce.legal may terminate the Subscription Agreement without notice for important reasons. Important reasons include, in particular:
1) a delay in payment of the Monthly Fee to ecommerce.legal of at least 7 days;
2) lack of contact or limited contact with the Subscriber, preventing Ecommerce.legal from properly and timely providing the services covered by the Package;
3) the Subscriber providing incorrect or incomplete information, which prevents Ecommerce.legal from providing the services covered by the Package correctly and on time;
4) the Subscriber's request to provide services by Ecommerce.legal in a way that is intended to enable the Subscriber to circumvent applicable law or in a way that may constitute a violation of the code of ethics of a legal advisor, attorney or tax advisor;
5) breach by the Subscriber of the confidentiality provisions referred to in § 8 of the Subscription Terms and Conditions.
4. The Customer may terminate the Subscription Agreement without notice for important reasons. The parties understand that important reasons include:
1) Ecommerce.legal ceasing to provide the services specified in the Subscription Agreement after at least one 14-day deadline for the provision of the services;
2) breach by Ecommerce.legal of the confidentiality provisions referred to in § 8 of the Subscription Terms and Conditions.
5. Termination of the Subscription Agreement by either party shall not affect the validity of the provisions relating to confidentiality, personal data and intellectual property rights.
6. Ecommerce.legal reserves the right to consent to the termination of the agreement by mutual consent, regardless of the duration of the agreement and the notice period specified in paragraphs 1 and 2 above. However, if ecommerce.legal has performed a legal audit and modified/prepared documents, ecommerce.legal may condition its consent to the termination of the agreement by mutual consent on the Subscriber paying an amount corresponding to the value of the legal audit. For the purposes of settlements pursuant to this paragraph, ecommerce.legal sets the value of the legal audit service at PLN 2,800.00 (two thousand eight hundred zlotys) net.
§ 7. Changes to Subscription
1. The Subscriber may, during the term of the Subscription Agreement, upgrade the Package to a higher one.
2. Changing the Subscription Package to a higher one does not affect the duration of the concluded Subscription Agreement.
3. In order to change the Package, the Subscriber notifies Ecommerce.legal of the desire to change to a higher Package via e-mail.
4. The change of the Package takes place at the beginning of the next Billing Period, following the Billing Period in which Ecommerce.legal notified the Subscriber of its consent to the change of the Package.
5. The Customer may, only for valid reasons and with the express consent of Ecommerce.legal, downgrade their Subscription Package. Whether these reasons are deemed valid rests with Ecommerce.legal at its sole discretion. The provisions of sections 3 and 4 above apply accordingly.
§ 8. Processing of personal data and confidentiality
1. Ecommerce.legal and the Subscriber undertake, when performing the Agreement, to comply with the obligations regarding the protection of personal data, including in particular the provisions of Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation) and the Act of 10 May 2018 on the protection of personal data.
2. If the actions taken under the concluded Agreement require it, Ecommerce.legal and the Subscriber undertake to conclude a personal data processing entrustment agreement.
3. Ecommerce.legal undertakes to keep confidential all information obtained from the Subscriber in connection with the provision of services, in particular information of an organizational, technical, technological and legal nature and information whose confidential nature results from the context or from the principles of life experience.
4. Ecommerce.legal, having obtained the information referred to in paragraph 3, undertakes to use it solely for the proper performance of the Agreement and will not disclose it directly or indirectly to any other third party.
5. Ecommerce.legal is responsible for maintaining the confidentiality of its employees, associates, representatives, and persons acting on its behalf. Ecommerce.legal provides information obtained in connection with the performance of the Agreement only to those employees who require it to perform their assigned tasks. The scope of information shared with employees depends on the scope of the assigned tasks.
§ 9. Nature of the services provided
If the Customer requests the performance of services as part of the subscription which, due to their nature and applicable regulations, will require the conclusion of a separate agreement (e.g. representation in court proceedings), these services may be provided on the basis of a separate agreement concluded with ecommerce.legal Kancelaria Prawna Dziok sp.k.
§ 10 Use of templates in the Customer Zone
Subscribers are entitled to use the document templates and other materials posted in the Customer Zone, as well as to adapt them for their own use, during the term of the Subscription Agreement. Upon termination of the Subscription Agreement, the Subscriber loses the right to use the document templates and other materials posted in the Customer Zone. Unauthorized use of the templates and materials posted in the Customer Zone will result in a contractual penalty of PLN 5,000.00 (five thousand zlotys, zero groszy) for each violation. The contractual penalty is payable within 7 days of the request. The contractual penalty does not preclude the right to claim damages under general principles.
§ 11. Final provisions
1. These Subscription Terms and Conditions are subject to Polish law.
2. Ecommerce.legal reserves the right to make changes to the Subscription Terms and Conditions. The new terms and conditions will take effect on the date of publication. Registered Users will be notified of any changes to the Subscription Terms and Conditions via email.
3. The Seller reserves the right to change the prices of Subscription Packages and promotions without prejudice to Agreements concluded before such changes.
4. In matters not regulated in these Subscription Terms and Conditions, the provisions of the Terms and Conditions and generally applicable provisions of Polish law shall apply.
5. Any disputes arising from or related to the Subscription Agreement will be resolved by the court having jurisdiction over the registered office of Ecommerce.legal.
